1. Acceptance of Terms

By accessing or using Counted Doors (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Counted Doors ("we," "our," or "us").

2. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You will use the Service in compliance with all applicable laws
• All information you provide is accurate and truthful

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account
• Not share your account with others

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans and Pricing

4.1 Free Tier

The Free tier includes limited access to resources (2 downloads per month), blog access, and ability to save up to 5 favorites. Free tier access may be modified or discontinued at any time.

4.2 Paid Subscription

Paid subscriptions are offered as follows:

• Monthly: $5.99/month, billed monthly
• Annual: $49.99/year, billed annually (equivalent to $4.17/month)

Paid subscriptions provide unlimited downloads, unlimited favorites, full access to all resources including state-specific guides, and access to new content added monthly.

4.3 Payment Terms

• Subscriptions automatically renew unless cancelled
• You authorize us to charge your payment method on each renewal date
• Payment processing is handled securely by Stripe
• We accept major credit cards (Visa, MasterCard, American Express, Discover)
• All fees are in U.S. dollars (USD)
• Prices are subject to change with 30 days' notice

4.4 Price Changes

We reserve the right to change subscription prices. Active subscribers will receive 30 days' notice before any price increase takes effect. If you do not agree to the price change, you may cancel your subscription before the new price takes effect.

5. Cancellation and Refund Policy

5.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@counteddoors.com. Upon cancellation:

• You will retain access to paid features until the end of your current billing period
• No refund will be provided for the unused portion of the billing period (except as noted in 5.2)
• Your account will automatically revert to the Free tier at the end of the billing period
• No further charges will be made

5.2 Seven-Day Money-Back Guarantee

5.3 No Partial Refunds

Except for the 7-day money-back guarantee, we do not provide refunds or credits for partial months or years. If you cancel mid-billing period, you will retain access until the end of that period but will not receive a refund.

6. License and Usage Rights

6.1 Limited License

Subject to these Terms and your subscription status, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the resources for your personal, non-commercial use in your role as a foster parent, kinship caregiver, or adoptive parent.

6.2 Permitted Uses

You may:

• Download resources for your personal use in caring for children in your home
• Print resources for your own record-keeping
• Complete forms and checklists for your own use
• Share individual printed resources with your caseworker, attorney, or care team when relevant to a child's case

6.3 Prohibited Uses

You may NOT:

• Redistribute, resell, or share resources with other foster parents or caregivers
• Post resources publicly on websites, social media, or file-sharing platforms
• Modify, alter, or create derivative works from our resources
• Remove copyright notices or branding from resources
• Use resources for commercial purposes or training programs
• Scrape, data mine, or use automated tools to download content in bulk
• Share your account credentials with others
• Access resources you are not entitled to based on your subscription tier

6.4 Intellectual Property

All content, resources, templates, guides, and materials on the Service are owned by Counted Doors or our licensors and protected by U.S. and international copyright, trademark, and intellectual property laws. "Counted Doors" and our logo are trademarks of Counted Doors.

7. User Content and Feedback

If you submit feedback, suggestions, or ideas to us, you grant us a worldwide, perpetual, royalty-free license to use, modify, and incorporate such feedback into our Service without compensation or attribution.

We do not claim ownership of any personal information you store in completed forms or documents you download and fill out.

8. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COUNTED DOORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any errors or omissions in resources or content
• Unauthorized access to your account or data
• Any reliance on information provided through the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some states do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Counted Doors and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any rights of another party, or (d) any misuse of resources or content.

10. Termination

We reserve the right to suspend or terminate your account and access to the Service, without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the Service or resources
• Failure to pay subscription fees
• Any other reason at our sole discretion

Upon termination, your right to use the Service immediately ceases. You will not receive a refund for any unused portion of your subscription (except as provided in Section 5.2).

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

12. Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

• Post the updated Terms on this page
• Update the "Last Updated" date
• Send email notification for significant changes

Your continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of California and the United States, without regard to conflict of law principles.

14.2 Dispute Resolution

For any dispute arising from these Terms or the Service, you agree to first contact us at support@counteddoors.com to attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days, either party may pursue legal remedies.

14.3 Arbitration (California Residents)

For California residents: Any dispute not resolved informally shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall take place in California. You and Counted Doors agree to waive the right to a jury trial or to participate in a class action.

14.4 Exceptions to Arbitration

Either party may seek injunctive or equitable relief in court for intellectual property infringement or violation of these Terms without first engaging in arbitration.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Counted Doors regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any successor or affiliate.

15.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or infrastructure failures.
